1. Acceptance of Terms
Door CarbonScope te gebruiken, accepteert u deze Terms of Service ("Terms"). Als u niet akkoord gaat, gebruik dan de service niet.
Geldend voor: CarbonScope platform (web, mobile, API), alle features en integraties.
2. Service Description
CarbonScope biedt een Software-as-a-Service (SaaS) platform voor:
- Carbon footprint tracking en calculatie (Scope 1, 2, 3)
- ESG rapportage (CSRD, GRI, CDP compatible)
- AI-powered analytics en forecasting
- API access voor integraties
- Supplier engagement en data collection
3. Account & Registration
3.1 Eligibility
- Minimaal 18 jaar oud
- Authorized to represent uw bedrijf
- Accurate informatie verstrekken
3.2 Account Security
- U bent verantwoordelijk voor account security
- Wachtwoorden mogen niet worden gedeeld
- Meldt unauthorized access onmiddellijk: security@carbonscope.nl
- We raden 2FA sterk aan
3.3 Account Suspension
We behouden het recht accounts te suspenderen bij:
- Non-payment (na 14 dagen grace period)
- Terms violations
- Fraudulent activity
- Abuse van resources (API rate limits, etc.)
4. Subscriptions & Payments
4.1 Pricing
- Zie pricing.html voor actuele prijzen
- Prijzen zijn exclusief BTW (21% in NL)
- Enterprise pricing op aanvraag
4.2 Billing
- Maandelijks: Gefactureerd op 1e van maand, automatische incasso
- Jaarlijks: 20% korting, vooruitbetaling
- Payment Methods: Credit card, SEPA, bankoverschrijving
- Late Payment: 14 dagen grace period, daarna €25 admin fee + interest
4.3 Refunds
- 14-Day Money-Back Guarantee: Voor nieuwe accounts binnen 14 dagen
- No Refunds: Na 14 dagen, of voor jaarlijkse subscriptions na activatie
- Pro-rata Credits: Bij downgrades binnen subscription periode
4.4 Price Changes
- We reserveren het recht prijzen te wijzigen
- 30 dagen notice voor bestaande klanten
- Grandfathering: oude prijzen blijven 12 maanden geldig
5. Data Ownership & Usage
5.1 Your Data
- U bent eigenaar van alle data die u upload (emissions data, supplier data, etc.)
- We gebruiken uw data ALLEEN voor het leveren van de service
- U kunt data exporteren any time (CSV, Excel, API)
- U kunt uw account verwijderen (30-day retention, dan permanent deleted)
5.2 Aggregated Anonymous Data
We mogen aggregated, anonymized data gebruiken voor:
- Industry benchmarks ("gemiddelde CO₂ per sector")
- Product improvements en research
- Public reporting (geen company-specific data)
5.3 Data Accuracy
- U bent verantwoordelijk voor accuracy van geüploade data
- We valideren data waar mogelijk maar garanderen geen correctness
- Emissions calculaties zijn based on best-available emission factors
6. Acceptable Use Policy
6.1 Prohibited Uses:
- Uploaden van malware of virussen
- Scraping of automated access (buiten official API)
- Reverse engineering van de software
- Reselling of sublicensing zonder toestemming
- Uploaden van fraudulent of false data
- Harassment van andere users of support team
6.2 API Usage Limits:
- Starter: 1,000 requests/day
- Professional: 10,000 requests/day
- Enterprise: Custom limits
- Rate limit: 100 requests/minute
7. Service Level Agreement (SLA)
7.1 Uptime Guarantee
- Professional & Enterprise: 99.5% uptime
- Starter: Best effort, no SLA
- Scheduled Maintenance: Announced 48h in advance
- SLA Credits: 5% credit per 0.5% below target
7.2 Support
- Starter: Email support (48h response)
- Professional: Email + chat (24h response)
- Enterprise: Dedicated CSM, phone support, 4h response SLA
8. Intellectual Property
8.1 CarbonScope IP
We behouden alle rechten op:
- Software code, algorithms, UI/UX designs
- CarbonScope brand, logos, trademarks
- Documentation, guides, training materials
- Emission factors database (proprietary compilation)
8.2 License to You
We geven u een non-exclusive, non-transferable license to use CarbonScope for internal business purposes.
9. Warranties & Disclaimers
9.1 Service "As Is"
CarbonScope is provided "AS IS" without warranties. We don't guarantee:
- Uninterrupted or error-free service
- Specific business outcomes or carbon reductions
- Compliance with all regulations (maar we helpen graag)
- Accuracy of third-party emission factors
9.2 Your Responsibility
- Final carbon reports zijn uw verantwoordelijkheid
- External audit compliance is uw verantwoordelijkheid
- Regulatory filing (CSRD, CDP) blijft uw verantwoordelijkheid
- We zijn een tool, geen certified auditor
10. Limitation of Liability
10.1 No Consequential Damages
We zijn NIET aansprakelijk voor:
- Lost profits, revenue, or business opportunities
- Data loss (maintain your own backups!)
- Regulatory fines or compliance failures
- Third-party claims based on your use of our data
10.2 Liability Cap
Total liability is capped at amount paid in last 12 months, minimum €1,000.
10.3 Exceptions
Liability cap doesn't apply to:
- Gross negligence or willful misconduct
- Data breaches caused by our security failures
- Violations of IP law
11. Indemnification
U vrijwaart CarbonScope van claims arising from:
- Uw gebruik van the service
- Violation of these Terms
- Infringement of third-party rights
- Fraudulent data or reporting
12. Termination
12.1 Termination by You
- Cancel any time in dashboard settings
- Maandelijk: Effective end of billing period
- Jaarlijks: No refund voor remaining periode
- Data retention: 30 dagen, dan permanent deletion
12.2 Termination by Us
- Non-payment na 30 dagen grace period
- Severe Terms violations
- Fraudulent activity
- 30 dagen notice (except bij acute violations)
13. Changes to Terms
- We mogen deze Terms updaten any time
- 30 dagen notice voor material changes via email
- Continued use = acceptance
- Can reject = right to terminate within 30 dagen
14. Governing Law & Disputes
- Governing Law: Nederlands Recht
- Jurisdiction: Rechtbanken Amsterdam
- Language: English version prevails in disputes
- Mediation: Good-faith attempt to resolve before litigation
15. Miscellaneous
15.1 Entire Agreement
Deze Terms + Privacy Policy = volledige agreement. Eerdere agreements vervallen.
15.2 Severability
Als een clause ongeldig is, blijven overige clauses geldig.
15.3 Force Majeure
Niet aansprakelijk voor service interruptions door events buiten onze controle (natuurrampen, oorlog, pandemieën, AWS outages).
15.4 No Waiver
Failure to enforce a right ≠ waiver of that right.
